These Terms and Conditions (“Terms”) govern your access to and use of the Like the Sound of You website, mobile application and related services (together, the “Platform”).
By creating an account, accessing or using the Platform, you confirm that you have read, understood and agreed to these Terms.
If you do not agree to these Terms, you must not use the Platform.

Like the Sound of You is a voice-based relationship and social conversation platform.

2.1 You must be at least 18 years old to use the Platform.
2.2 By using the Platform, you confirm that:
(a) you are at least 18 years old;
(b) you have the legal capacity to enter into a binding agreement;
(c) all information you provide to us is accurate, current and complete; and
(d) you will keep your account information up to date.
2.3 You must not create an account on behalf of another person without their permission.
2.4 We may suspend, restrict or terminate your account if we reasonably believe:
(a) you are under 18 years old;
(b) you have breached these Terms;
(c) you are using the Platform fraudulently or unlawfully; or
(d) your conduct creates risk or harm to other users or to us.
2.5 You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out through your account.
3.1 We process personal data in accordance with applicable UK data protection laws, including the UK General Data Protection Regulation (“UK GDPR”), the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations 2003.

3.3 By using the Platform, you acknowledge that:
(a) your profile information, voice recordings, photographs and content may be visible to other users in accordance with your privacy settings; and
(b) we may use automated systems and human moderation to review content and maintain user safety.
3.4 You must not upload or share personal data relating to another individual unless you have the lawful right to do so.
4.1 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial use.
4.2 You must not:
(a) copy, reproduce, distribute or exploit any part of the Platform except as permitted by law or expressly authorised by us in writing;
(b) use the Platform for commercial solicitation, advertising or spam;
(c) access or use the Platform to build a competing service;
(d) interfere with or disrupt the Platform or servers;
(e) use bots, scraping tools, data mining tools or automated methods to access the Platform;
(f) reverse engineer, decompile or attempt to extract source code from the Platform except where permitted by applicable law; or
(g) circumvent any security or access controls.
5.1 All intellectual property rights in the Platform, including software, branding, trade marks, audio, text, graphics, layouts, designs and content created by us, are owned by or licensed to us.
5.2 Nothing in these Terms transfers ownership of any intellectual property rights to you.
5.3 You retain ownership of the content you upload to the Platform (“User Content”), subject to the licence granted in clause 6.
6.1 You are solely responsible for any User Content you upload, publish, transmit or otherwise make available through the Platform.
6.2 By uploading User Content, you confirm that:
(a) you own the content or have all necessary rights and permissions to use and share it;
(b) the content is accurate and not misleading;
(c) the content does not infringe any third-party rights, including intellectual property, privacy or confidentiality rights; and
(d) the content complies with these Terms and applicable law.
6.3 You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, modify, adapt, display, distribute and make available your User Content solely for the purposes of:
(a) operating and improving the Platform;
(b) providing the services to users;
(c) maintaining safety and security;
(d) complying with legal obligations; and
(e) promoting the Platform.
6.4 The licence in clause 6.3 ends when your User Content is deleted from the Platform, except:
(a) where retention is required for legal, regulatory or legitimate business purposes; or
(b) where the content has been shared with other users who have not deleted it.
6.5 We may remove, restrict, review or moderate User Content where we reasonably believe it breaches these Terms, applicable law or our policies.
7.1 You must use the Platform responsibly and respectfully.
7.2 You must not:
(a) harass, threaten, abuse, stalk or intimidate another user;
(b) post content that is unlawful, defamatory, discriminatory, hateful, sexually exploitative, violent or otherwise objectionable;
(c) impersonate another person or misrepresent your identity;
(d) share another person’s personal information without permission;
(e) use the Platform for fraud, scams, financial exploitation or catfishing;
(f) upload malware, viruses or harmful code;
(g) solicit passwords or sensitive personal information;
(h) engage in behaviour that may endanger the safety or wellbeing of another person; or
(i) use the Platform in breach of any applicable law or regulation.
7.3 We reserve the right to investigate suspected breaches of these Terms and to take action including:
(a) removing content;
(b) issuing warnings;
(c) suspending or terminating accounts; and
(d) reporting unlawful conduct to law enforcement or regulatory authorities.
8.1 Users may report content, behaviour or accounts that they believe breach these Terms or create a risk of harm.
8.2 We will take reasonable steps to review reports and moderate content in accordance with applicable law, including the Online Safety Act 2023 where relevant.
8.3 We may use automated moderation systems and human review processes to detect prohibited content or conduct.
9.1 Certain features of the Platform may require payment or subscription.
9.2 Pricing, billing intervals and features will be explained before purchase.
9.3 Where you purchase a subscription through a third-party app store, your payment and cancellation rights may also be governed by that app store’s terms.
9.4 Consumers in the United Kingdom may have statutory cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
9.5 If you expressly request immediate access to digital content or services during a cancellation period, you acknowledge that your cancellation rights may be limited once the digital service has begun.
9.6 Fees are non-refundable except where required by law or expressly stated otherwise.
10.1 We do not guarantee that the Platform will always be available, uninterrupted, secure or error-free.
10.2 We may:
(a) modify, suspend or discontinue any part of the Platform;
(b) carry out maintenance or updates; or
(c) restrict access where necessary for operational, legal or security reasons.
10.3 We will take reasonable care and skill in providing the Platform in accordance with applicable consumer law.
11.1 The Platform may contain links to third-party websites, services or content.
11.2 We are not responsible for the availability, accuracy or content of third-party services and linking does not imply endorsement.
11.3 Your use of third-party services is at your own risk and subject to the terms of those third parties.
12.1 Nothing in these Terms limits or excludes any rights you have under applicable consumer protection laws, including the Consumer Rights Act 2015.
12.2 If digital content supplied by us is defective, you may be entitled to legal remedies under applicable law.
13.1 Nothing in these Terms excludes or limits liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation;
(c) breach of statutory rights that cannot lawfully be excluded; or
(d) any liability that cannot be excluded under applicable law.
13.2 Subject to clause 13.1, we are not liable for:
(a) indirect or consequential losses;
(b) loss of profits, revenue, business or opportunity;
(c) reputational damage;
(d) loss of data; or
(e) losses arising from user conduct or User Content.
13.3 Subject to clause 13.1, our total liability to you arising out of or in connection with the Platform shall not exceed:
(a) £100; or
(b) the total amount paid by you to us in the 12 months preceding the claim,
whichever is greater.
13.4 You acknowledge that online interactions involve inherent risks and that we cannot guarantee the conduct, identity or intentions of any user.
14.1 You agree to indemnify and hold us harmless against losses, liabilities, damages and reasonable legal costs arising from:
(a) your breach of these Terms;
(b) your unlawful use of the Platform; or
(c) your infringement of another person’s rights.
14.2 This clause does not require you to indemnify us for losses caused by our own negligence or misconduct.
15.1 You may stop using the Platform and delete your account at any time.
15.2 We may suspend or terminate your access immediately where:
(a) we reasonably believe you have breached these Terms;
(b) your conduct creates legal, security or reputational risk;
(c) we are required to do so by law; or
(d) it is necessary to protect users or the Platform.
15.3 Where appropriate, we may provide notice or an opportunity to appeal moderation decisions.
16.1 We may update these Terms from time to time.
16.2 Where changes are material, we will take reasonable steps to notify users, including through the Platform or by email.
16.3 Continued use of the Platform after updated Terms take effect constitutes acceptance of the revised Terms.
17.1 You may not transfer or assign your rights under these Terms without our prior written consent.
17.2 We may transfer our rights and obligations under these Terms where permitted by law.
17.3 If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue in full force and effect.
17.4 A failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
17.5 These Terms constitute the entire agreement between you and us relating to your use of the Platform.
18.1 These Terms are governed by the laws of England and Wales.
18.2 If you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
18.3 Any dispute arising out of or in connection with these Terms shall be subject to the jurisdiction of the courts of England and Wales unless mandatory consumer laws provide otherwise.
